Welcome to Broxi. By accessing or using our AI Agent Creation Platform and related services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and GuidenAI Inc. d/b/a Broxi ("Broxi," "we," "us," or "our"). By clicking "I Accept" or by using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services Overview

Broxi provides an AI Agent Creation Platform that enables users to:

  • Create & Deploy: Build customized AI agents for various business functions
  • Connect: Integrate agents with enterprise systems, APIs, and data sources
  • Train: Optimize AI models with custom data and user feedback
  • Collaborate: Work with team members on agent development and deployment
  • Monitor: Track agent performance, usage, and outcomes
  • Scale: Deploy agents across multiple channels and environments

The specific features and capabilities available to you depend on your subscription plan and any additional terms that may apply to premium features.

3. Account Registration

To access the Services, you must create an account. When registering for an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breaches

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. User Responsibilities

As a user of our Services, you agree to:

  • Compliance: Use the Services in compliance with all applicable laws and regulations
  • Acceptable Use: Not use the Services for any illegal, harmful, or offensive purposes
  • Security: Not attempt to breach, disable, or circumvent any security measures
  • Access Limits: Not exceed any rate limits or attempt to gain unauthorized access
  • Content Standards: Not upload or distribute harmful, infringing, or illegal content
  • Resource Usage: Not engage in activities that disrupt or place undue burden on our Services
  • Third-Party Terms: Comply with terms of any third-party services used with our platform

5. AI Agent Guidelines

When creating and deploying AI agents using our platform, you must:

  • Safety: Implement appropriate safeguards to prevent harmful outputs
  • Transparency: Disclose to end users when they are interacting with an AI agent
  • Data Rights: Ensure you have proper rights to all data used to train agents
  • Oversight: Maintain appropriate human oversight of agent operations
  • Testing: Adequately test agents before deployment to production
  • Prohibited Uses: Not create agents for deceptive, discriminatory, or harmful purposes

We reserve the right to review AI agents created on our platform and suspend or terminate access for agents that violate these guidelines.

6. Intellectual Property Rights

Our Intellectual Property:

The Services, including all software, features, functionality, content, and materials, are owned by Broxi or our licensors and are protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose.

Your Content:

You retain ownership of any content, data, or materials you provide to the Services ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and display your User Content solely for the purpose of providing and improving the Services.

AI Agents:

You own the AI agents you create using our platform, subject to our underlying intellectual property rights in the Services. However, we may collect anonymized performance data from your agents to improve our Services.

7. Subscription Plans and Payment

We offer various subscription plans for our Services:

  • Free Tier: Limited features with usage restrictions
  • Professional: Enhanced features for individual professionals
  • Teams: Collaborative features for small to medium teams
  • Enterprise: Advanced features with custom support for organizations

Payment Terms:

  • All fees are exclusive of taxes, which you are responsible for paying
  • Subscription fees are charged in advance on a monthly or annual basis
  • There are no refunds for partial subscription periods
  • We may change pricing with 30 days' notice for existing subscribers
  • Enterprise customers may have separate payment terms specified in their agreements

8. Service Limitations and Modifications

We strive to provide reliable Services, but you acknowledge that:

  • The Services are provided "as is" without warranties of any kind
  • We may modify, suspend, or discontinue any aspect of the Services at any time
  • We may impose limits on certain features or restrict access to parts of the Services
  • Technical issues, maintenance, or other factors may impact availability
  • We will attempt to provide reasonable notice of significant changes or scheduled maintenance

9. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claims arising from these Terms shall not exceed the amount paid by you for the Services in the 12 months preceding the claim
  • We are not responsible for the actions, content, or data of third parties
  • We do not guarantee specific outcomes or results from using our Services
  • We are not liable for any decisions made based on our Services or AI agents created on our platform

10. Indemnification

You agree to indemnify, defend, and hold harmless Broxi, our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your User Content
  • AI agents you create or deploy
  • Your violation of these Terms
  • Your infringement of any third-party rights
  • Your violation of any laws or regulations

11. Term and Termination

These Terms remain in effect until terminated by either you or us. You may terminate these Terms at any time by canceling your account. We may terminate or suspend your access to the Services at any time, with or without cause, and without prior notice or liability, including if:

  • You breach any provision of these Terms
  • You fail to pay any fees when due
  • We are required to do so by law
  • We believe termination is necessary to protect our Services, users, or third parties

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website or by notifying you. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

14. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Broxi regarding the Services
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect
  • No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision
  • Assignment: You may not assign these Terms without our prior written consent, but we may assign these Terms without restriction
  • Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control
